1. Introduction

These Terms and Conditions ("Terms") govern your access to and use of the Flexhour mobile application ("App") and related services ("Services") operated by Meaningful Technology UAB, a company registered in the Republic of Lithuania ("Company", "we", "us", or "our").

By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the App.

2. About Flexhour

Flexhour is a task-based marketplace platform that connects individuals who need help with tasks ("Task Posters") with individuals who offer their time and skills to complete those tasks ("Taskers" or "Service Providers").

The App facilitates the posting, discovery, application, hiring, payment, and completion of tasks and services.

3. Eligibility

To use Flexhour, you must be at least 18 years of age and have the legal capacity to enter into a binding agreement.

By creating an account, you represent and warrant that you meet these requirements. We reserve the right to request proof of age or identity at any time.

4. Account Registration

You must create an account to access the full features of the App. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

You must notify us immediately at support@flexhour.online if you suspect any unauthorized use of your account.

5. Services and Platform Role

Flexhour acts solely as an intermediary platform. We are not a party to any agreement between Task Posters and Taskers.

We do not employ, endorse, or guarantee any Tasker or Service Provider. The Company is not responsible for the quality, safety, legality, or timeliness of any task or service performed through the App.

Task Posters are responsible for clearly describing their tasks, setting appropriate budgets, and evaluating applicants.

Taskers are responsible for accurately representing their skills and availability and for performing tasks to the agreed standard.

6. Task Posting and Bidding

Task Posters may post tasks by providing a description, category, budget, location (for in-person tasks), and schedule.

Taskers may apply for tasks by submitting a bid amount.

Task Posters review applicants and may hire a Tasker at their discretion. Once a Tasker is hired, the task is considered assigned and both parties are expected to fulfill their obligations.

7. Payments and Fees

All payments are processed through our integrated payment provider (currently Revolut).

When a Task Poster hires a Tasker, the agreed task amount plus a Protection Guard fee of 2.50% of the task amount is charged to the Task Poster. The Protection Guard fee helps cover platform costs including payment processing, dispute resolution, and platform maintenance.

Upon successful completion of a task (confirmed by the Task Poster), the agreed task amount is credited to the Tasker’s in-app balance, minus a platform commission of 5.00% of the task amount.

Taskers may request withdrawal of their available balance to their registered bank account, subject to a minimum withdrawal threshold.

Payment amounts, fees, and commission rates are subject to change. Any changes will be communicated through the App or via email.

8. Task Completion and Disputes

The Task Poster is responsible for marking a task as complete once satisfied with the work.

Upon marking a task as complete, the payment is released to the Tasker’s balance.

If a dispute arises between a Task Poster and a Tasker, both parties should first attempt to resolve the matter directly through the in-app chat.

If resolution is not possible, either party may contact our support team at support@flexhour.online for mediation.

The Company reserves the right to investigate disputes, withhold payments during investigation, and make final determinations regarding payment release or refunds at its sole discretion.

9. User Conduct

You agree not to:

• Use the App for any unlawful purpose or in violation of any applicable laws.

• Post false, misleading, or fraudulent task listings or applications.

• Harass, abuse, or threaten other users.

• Attempt to circumvent the platform’s payment system by arranging off-platform payments.

• Create multiple accounts or impersonate another person.

• Upload harmful content, malware, or spam.

• Interfere with the proper functioning of the App.

Violation of these rules may result in account suspension or permanent termination without prior notice.

10. Intellectual Property

All content, design, trademarks, logos, and software associated with Flexhour are the property of Meaningful Technology UAB or its licensors and are protected by applicable intellectual property laws.

You may not copy, modify, distribute, or create derivative works from any part of the App without our prior written consent.

11. Privacy

Your use of the App is also governed by our Privacy Policy, which describes how we collect, use, store, and share your personal data.

By using the App, you consent to the practices described in the Privacy Policy.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Meaningful Technology UAB shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the App, including but not limited to loss of profits, data, or goodwill.

Our total liability for any claim arising from these Terms or your use of the App shall not exceed the total fees paid by you to the Company in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless Meaningful Technology UAB, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the App, your violation of these Terms, or your violation of any rights of a third party.

14. Termination

We may suspend or terminate your account at any time, with or without cause, and with or without notice.

You may delete your account at any time through the App settings.

Upon termination, your right to use the App ceases immediately. Any outstanding balances or pending transactions will be handled in accordance with these Terms.

15. Modifications to Terms

We reserve the right to modify these Terms at any time.

Changes will be effective upon posting the updated Terms in the App.

Your continued use of the App after any changes constitutes your acceptance of the revised Terms.

We encourage you to review these Terms periodically.

16. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Lithuania.

Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts of Vilnius, Lithuania.
